These Terms & Conditions ("Agreement") govern the relationship between GreyPhox Digital ("the Agency," "we," "us," or "our") and the client ("the Client," "you," or "your") regarding the provision of web design, digital marketing, hosting, and development services. By engaging our services or using our website (greyphox.com), you agree to be bound by these terms.
1. Services Provided
GreyPhox Digital provides a comprehensive suite of digital solutions, including but not limited to:
- Web Design & Development: Creation of responsive, high-speed, and custom-coded websites.
- eCommerce Solutions: Building secure platforms for product sales and payment processing.
- Hosting & Email: Provision of secure hosting environments, including bundled SSL certificates.
- Digital Marketing: Management of Paid Search (PPC) and Search Engine Optimization (SEO) campaigns.
2. Client Obligations
To ensure the successful delivery of services, the Client agrees to:
- Provide all necessary text, images, and brand assets in a timely manner.
- Review deliverables and provide feedback within the agreed-upon timeframes.
- Ensure that all content provided to the Agency does not infringe upon the intellectual property rights of any third party.
3. Fees and Payment (Payment Terms)
- Quotations: All quotes are valid for thirty (30) days from the date of issue.
- Invoicing: We will issue invoices in accordance with the agreed proposal/statement of work (e.g., deposit, milestone, monthly, or annual billing). Unless otherwise stated on the invoice, invoices are due within fourteen (14) days of the invoice date.
- Deposits: A non-refundable deposit (typically 50% unless otherwise agreed) is required before work commences.
- Final Payment: For project-based work, the remaining balance is due upon completion or prior to the website "go-live" date.
- Recurring Fees: Hosting, SEO, and PPC management fees are billed on a monthly or annual basis. Failure to pay recurring fees may result in the suspension of services, including website hosting and email access.
- Late Payment / Late Fees: If an invoice is not paid by the due date, we reserve the right to (a) charge interest on the overdue amount at 4% per annum above the Bank of England base rate, calculated daily from the due date until payment is received in full, and/or (b) charge reasonable debt recovery and administration costs as permitted by law, and/or (c) pause or suspend work and/or services until all overdue amounts are paid.
4. Intellectual Property
- Client Content: The Client retains ownership of all materials provided to the Agency.
- Ownership of Deliverables (upon full payment): Upon full payment of all outstanding invoices, the Client will own the final, bespoke website design and content created specifically for the Client as part of the agreed deliverables, excluding any Agency Background IP (as defined below).
- Agency Background IP (underlying code/tools): GreyPhox Digital retains all right, title, and interest in any pre-existing code, templates, libraries, proprietary tools, processes, know-how, frameworks, and reusable components used or developed independently of the Client project, and any general skills or ideas used in providing the services ("Agency Background IP"). To the extent Agency Background IP is incorporated into the deliverables, GreyPhox Digital grants the Client a non-exclusive, perpetual license to use that Agency Background IP solely as necessary to operate, maintain, and use the deliverables for the Client’s own business purposes.
5. Web Design and Development
- Performance: We prioritize "lightning-fast" loading speeds and mobile responsiveness. However, performance metrics can be affected by third-party plugins or heavy media files requested by the Client.
- Testing: We perform cross-browser and mobile-readiness testing; however, we do not guarantee 100% identical rendering across all legacy devices or outdated browser versions.
6. Hosting and Maintenance (Hosting Liability)
- Third-Party Providers: Hosting, email, domain services, and related infrastructure may be provided via third-party suppliers and data centres. The Client acknowledges that the availability and performance of such services may be affected by factors outside GreyPhox Digital’s control.
- Uptime / Downtime: While we strive for 100% uptime, GreyPhox Digital shall not be held liable for service interruptions, server downtime, data centre outages, network failures, platform/provider incidents, force majeure events, or scheduled/emergency maintenance carried out by us or any third-party provider.
- Security: We provide SSL certificates as part of our hosting bundles. The Client is responsible for maintaining strong passwords for any administrative accounts.
7. Search Engine Optimization (SEO) & Paid Search (PPC)
- No Guarantees: While we utilize industry best practices to improve search rankings and ad performance, GreyPhox Digital cannot guarantee specific rankings on search engines (such as Google) or specific conversion rates, as these are subject to algorithm changes and market competition.
- Third-Party Costs: For PPC, the Client is responsible for the direct costs of advertising spend paid to platforms (e.g., Google Ads, Meta), which are separate from the Agency's management fees.
8. Limitation of Liability
To the maximum extent permitted by law, GreyPhox Digital shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services or any technical failures. Our total liability for any claim shall not exceed the amount paid by the Client for the specific service in question.
9. Termination
- By Client: The Client may terminate a project at any time by providing written notice. In such cases, the Client remains liable for all work completed up to the date of termination.
- By Agency: We reserve the right to terminate services if the Client breaches these terms or fails to make payments.
10. Confidentiality
Both parties agree to keep all sensitive business information, trade secrets, and project details confidential and will not disclose such information to third parties without prior written consent.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Amendments
GreyPhox Digital reserves the right to modify these Terms & Conditions at any time. Continued use of our services following any changes constitutes acceptance of the new terms.
